Security Camera Installation Agreement

This Security Camera Installation Agreement (the "Agreement") is entered into between [Company Name], hereinafter referred to as the "Installer," and [Client Name], hereinafter referred to as the "Client," collectively referred to as the "Parties."

1. Services:
The Installer agrees to provide security camera installation services as specified in the project proposal or work order (the "Services"). The Services may include the installation, configuration, and testing of security cameras, associated equipment, and related components, as agreed upon by the Parties.

2. Payment Terms:
a. The Client agrees to pay the total project cost as outlined in the project proposal or work order upon completion of the installation.
b. Payment shall be made in full within 30 days of the completion date unless otherwise agreed upon in writing by the Parties.
c. In the event that the Client fails to make full payment within 30 days of the completion date, the Installer reserves the right to shut down the security camera system until payment is received.

3. Non-Payment:
a. In the event that the Client fails to make full payment within 30 days of the completion date, the Installer reserves the right to shut down the security camera system until payment is received.
b. The Installer shall not be held liable for any loss, damage, or inconvenience caused by the shutdown of the security camera system due to non-payment.

4. Ownership and Intellectual Property:
a. The Client acknowledges that the hardware installed by the Installer, including the security camera system and associated components, shall become the property of the Client upon full payment.
b. The Client acknowledges that all software configurations and associated intellectual property utilized by the Installer, including proprietary systems and technologies, shall remain the exclusive property of Peck Servers LLC or any future managing parties designated by the Installer.
c. The Client agrees that written notice is required to remove the proprietary configurations from the Client's security camera system.
d. In the event that the Client decides to terminate their engagement with Peck Servers LLC or any future managing parties, the Client must provide written notice to Peck Servers LLC or the respective managing party and make arrangements for the removal of proprietary configurations from their security camera system.
e. The Client acknowledges that upon the removal of proprietary configurations, they are solely responsible for understanding and managing all software configurations, and Peck Servers LLC or any future managing parties shall not be held responsible for any issues arising from the removal of proprietary configurations.

5. Warranty:
a. The Installer warrants that the installation will be performed in a professional manner and in accordance with industry standards.
b. The security camera system and related equipment installed by the Installer may be subject to manufacturer warranties, which the Installer will pass on to the Client to the extent permissible.
c. The Installer shall not be responsible for any defects or malfunctions caused by improper use, modifications, or unauthorized repairs made by the Client or third parties.

6. Limitation of Liability:
a. The Installer shall not be liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages, arising from the installation or use of the security camera system, except as otherwise required by law.
b. The Installer's liability under this Agreement shall not exceed the total amount paid by the Client for the Services.

7. Termination:
a. Either Party may terminate this Agreement in the event of a material breach by the other Party, provided written notice is given specifying the breach and a reasonable opportunity to cure is provided.
b. Upon termination, the Client shall be responsible for paying any outstanding balances for the Services rendered up to the termination date.

8. Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

9. Connection and Access:
a. The Client agrees that the security camera system and associated equipment installed by the Installer will be connected to the infrastructure managed by Peck Servers LLC or any future company designated by the Installer (hereinafter referred to as "Infrastructure Manager").
b. The Infrastructure Manager, such as Peck Servers LLC, retains access to view all live camera feeds and archives for system monitoring, maintenance, and issue resolution purposes.
c. Any access by the Infrastructure Manager to view live camera feeds and archives beyond system monitoring, maintenance, and issue resolution requires express customer permission and must be arranged in advance.
d. All customer access to the system, including monitoring the cameras and accessing any archived footage, will be established through the secure link between the customer equipment and the Infrastructure Manager.
e. The Client acknowledges and agrees that the Infrastructure Manager's access to view live camera feeds and archives is subject to the Client's explicit authorization and is solely for the purpose of providing requested services.
f. The Client understands that the Infrastructure Manager will exercise discretion, respect the privacy of the Client's premises, and adhere to any applicable privacy laws and regulations.
g. The Client acknowledges that any security issues introduced to the system by the Client, including but not limited to misconfigurations or negligence, that are exploited and result in the exposure of sensitive information, shall not be the responsibility of any managing parties, including Peck Servers LLC or any future company designated by the Installer.

10. Entire Agreement:
This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
